General Conditions of Sale

ARTICLE 1: PURPOSE

The Renta'Life Architecture General Terms and Conditions are intended to govern the contractual relations between the contracting companies and the clients of the "Renta'Life Architecture" network. These apply automatically to any service provision or sale of goods concluded by the franchised company "Renta'Life Architecture" or Renta'Life Architecture and its signatory client. The franchised agencies under the "Renta'Life Architecture" brand are legally and financially independent companies under a franchise agreement. Each of them ensures the general and daily management of its activity. The franchisor cannot under any circumstances be held responsible for any failures of its franchisees. The franchisor may not at any time replace one of its franchisees. The client acknowledges that the signing of a "Renta'Life Architecture" quote or a Renta'Life Architecture quote implies acceptance, without reservation or restriction, of these general terms and conditions.

ARTICLE 2: FORMATION OF CONTRACTS

The contract is formed by the acceptance, without reservations, by the client of the estimate established by a franchisee under the brand name "Renta'Life Architecture". Acceptance of the general conditions of sale is materialized by the signature of said estimate, corresponding to the service or the sale of the desired products, preceded by the words "good for agreement". The client also pays a deposit on the amount of the estimate, upon signature. Once the estimate has been accepted, any request for modification must be notified in writing to the service provider. In this case, the modifications will be the subject of an amendment to the initial estimate. The contract will only be formed after acceptance of this amendment by the client. The payment of a supplement to the initial deposit may be requested from the client, if applicable.

ARTICLE 3: DESCRIPTION OF SERVICES

Interior Space Designer and Creator (DCEI) The interior space designer and creator (DCEI) profession is halfway between the consultant decorator (whose mission is to advise his client on the harmony of the interior layout, colors, materials, etc.) and the interior architect who has the same responsibilities as an architect or a project manager, even if his profession is different. Indeed, the interior space designer gathers the needs and expectations of his client, he identifies the main constraints that must be taken into account in the development of interior design and decoration projects by consulting, where appropriate, craftsmen and building experts. He rethinks, designs and conceptualizes interiors, he creates layouts, he imagines the decoration and sources the products of a home, a workplace or a public space. He communicates his intentions and his creative bias to the client through the production of different visuals and a preliminary budget study. He is able to demonstrate that his vision of the project is realistic and is in line with the needs and expectations of the client. Thanks to his abilities to inform himself, analyze, cross-reference information, solve and organize, the DCEI, during the construction phase, plays the role of the perfect "assistant" to his client in the aesthetic and organizational follow-up. The DCEI is often called upon to carry out purchase and resale operations of furniture and decorative accessories in order to facilitate the management of supplies and to guarantee his client access to so-called confidential high-end international products that he has identified as essential in the construction of his project. Unlike an interior designer, a DCEI works without taking on any responsibility for project management. He or she is a partner in the project, without ever producing plans or execution visuals. A DCEI may be required to visit the construction site to ensure that the interpretation of the aesthetic aspects of the project are respected, and that the supplies of decoration products and/or furniture comply with the orders or recommendations. He or she reports the results of his or her observations to his or her client or to a designated project manager responsible for implementation. The service provider "Renta'Life Architecture" undertakes to take the greatest care, in compliance with applicable regulations, in the performance of its services. The client undertakes to communicate to the service provider "Renta'Life Architecture" all the elements enabling the latter to carry out its service (plans, photos, administrative documents, etc.). Any change in the direction of the initial project, any additional request or specific decisions must be the subject of a written exchange by e-mail between the client and the service provider "Renta'Life Architecture", these modifications may (in accordance with article 2 of these General Terms and Conditions) be the subject of an amendment. The role and responsibilities of the service provider "Renta'Life Architecture" depend on the Service chosen by the Project Owner. The services of the "Renta'Life Architecture" brands are as follows:


3.1. Space design consultation (Step 1)

The service provider "Renta'Life Architecture" visits the premises concerned by the project in order to better understand the client's desires and expectations. The client defines the desired project and the financial envelope available for the realization of said project. As far as possible, the service provider "Renta'Life Architecture" transmits to the client any comments in order to define the direction of his project and brings new ideas and/or improvements to said project. This service is subject to an invoice defined in advance by the service provider "Renta'Life Architecture" and accepted by the client.


3.2. Draft intention (Step 2)

 

The service provider "Renta'Life Architecture" produces: - a set of documents allowing the client to understand and visualize the artistic and technical orientations of his project (in the form of sketches, 3D visuals, plans, product visuals, etc.), the documents produced are sources of inspiration, as they are never contractual and do not include any product references. The documents provided at this stage may under no circumstances be used as execution plans by potential project managers or craftsmen. - if necessary, the client will notify the service provider "Renta'Life Architecture" in writing of any observations within three working days following delivery of the draft intention. The service provider "Renta'Life Architecture" undertakes to make any adjustments within the limit of one correction session. Any request for additional modification may be the subject of an amendment (in accordance with article 2 of these General Terms and Conditions).


3.3. Budget study

 

As part of the budget study, the client reviewed the draft intent previously provided by Renta'Life Architecture and ensured that it met their expectations. In the absence of any comments, the client approved the draft intent and, with the service provider "Renta'Life Architecture", drew up a list of professionals they wished to consult. In this context, Renta'Life Architecture reserves the right to provide the client with the contact details of companies that have already carried out work on behalf of the network's clients. This contact does not in any way engage Renta'Life Architecture's responsibility for the quality of the work that will be carried out. The project manager or craftsman was solely responsible for the interpretation of the draft intent and the quality of the work ordered by the client. In this context, the missions of your service provider "Renta'Life Architecture" are as follows: - organization of a site visit with the companies approached by the client (depending on the needs of the project)

  • Collecting quotes from the companies concerned

  • Collecting formal documents from the companies (KBIS less than 3 months old, RCPRO insurance certificate, ten-year insurance certificate, if applicable, less than 3 months old). Please note that this collection of documents does not provide information on the company's financial health at the time of signing the contract.

  • Reviewing quotes with the client, transmitting them to the client, and making any comments or adjustments.

  • Transmitting the client's comments to the service providers.

  • Collecting quotes and creating a summary document.

  • Submitting the file to the client in digital format.


*The final budget is directly linked to the signature of any quotes from companies by the client.


3.4. Order logistics and aesthetic site monitoring

 

Not all Renta'Life Architecture agencies are able to offer you an "Order Logistics and Aesthetic Site Monitoring" contract. The services offered by the company do not include any project management services, but correspond to organizational assistance and aesthetic advice for the projects. Each professional involved in the execution of the work must be able to provide proof of their own liability or even ten-year insurance to the client. In this context, the Renta'Life Architecture service provider is responsible for:

  • Logistics for the supply of furniture and decorative accessories. And consumer goods.

  • Assists the client in the aesthetic inspection of the work.

  • Organizes site meetings where necessary so that the client can discuss with the companies and make decisions.

  • The client is free to decide whether or not to accept the companies' quotes.

  • The client contracts directly with the companies of their choice.


The contractors freely chosen by the client may be required to pay your service provider "Renta'Life Architecture" as part of a business introduction service. The contractors are solely responsible for their deadlines, their commitments and the quality of their services. Your service provider "Renta'Life Architecture" cannot under any circumstances be held responsible for any delays by the client's contracting service providers and the client's suppliers.

ARTICLE 4: CALENDAR

A provisional schedule for the execution of the services is agreed between the parties (executing companies and client) and is in accordance with the deadlines shown on any quotes. In the event that the completion of the work is subject to the delivery of materials, decorative accessories or capital goods by third parties, the companies' execution schedule will begin upon delivery of these elements to the project site. Any delays in these delivery times cannot under any circumstances be attributable to your service provider "Renta'Life Architecture".

ARTICLE 5: OBLIGATIONS OF THE CONTRACTING AUTHORITY (CLIENT)

For the proper execution of the services, it is the customer's responsibility to: - transmit to your franchised service provider "Renta'Life Architecture" within a reasonable time, the elements of the project as well as the various normative, legislative or regulatory constraints in force at the time of signing this service quote "Order logistics and aesthetic monitoring of the site" - ensure the financing of the project and specify the terms and conditions to your various service providers - give your franchised service provider "Renta'Life Architecture" all means of access to the site and existing works * inform, before any intervention, the initial designer of the work or, where applicable, the successive designers (Intellectual Property Code) - respect a maximum period of three calendar days during the work to make known (by return email) your opinion on any changes; on the information and/or documents submitted to you by your franchised service provider "Renta'Life Architecture". Beyond this period, approval is deemed acquired and will be carried out by the companies.

ARTICLE 6: PRICE OF THE SERVICE AND PAYMENT OF THE PRICE

The applicable price will be the one expressed on the signed quote. Prices are displayed in euros and are expressed inclusive of all taxes (VAT). Your franchised service provider "Renta'Life Architecture" issues an invoice for each service provided previously accepted by quote. The payment of a deposit (the amount of which appears on the accepted quote) will be requested from the client upon signing the quote and at the rate agreed on the quote. Payment for services is made according to the terms and conditions appearing on the accepted quote. Payments made by the client will only be considered final after actual collection by your franchised service provider "Renta'Life Architecture" of the amounts due. The client will be responsible for the payment terms for the services of the various companies working on the site.

ARTICLE 7: MINUTES OF ACCEPTANCE OF WORKS

At the end of each service provided by a company, the client is advised to have the company (project manager) draw up a acceptance report, which they must sign in duplicate with the company. The client may simply accept the work or, if necessary, express reservations. The report constitutes proof between the parties of the performance of the service in accordance with the specifications of the estimate or the mission contract. The Renta'Life Architecture by franchisee is not responsible for these formalities.

ARTICLE 8: RESPONSIBILITIES AND INSURANCES OF THE PARTIES

Your service provider "Renta'Life Architecture" undertakes to make every effort to provide complete satisfaction to its client. However, the client acknowledges that for all services of "advice", "project of intent", "budget study" and "logistics of orders and aesthetic monitoring of construction sites", the obligations of its franchised service provider "Renta'Life Architecture" will be understood as obligations of means and not of result. Renta'Life Architecture cannot be considered as project manager in the execution of the work carried out by the contracting service providers. The franchisor Renta'Life Architecture, as such, bears no contractual responsibility towards the clients of its franchisees. In this context, all legal or contractual guarantees offered to the client are directly offered by the contractors concerned (ten-year guarantee, guarantee of conformity, hidden defects, etc.). Where applicable, the Project Owner declares that he has been informed by his franchised service provider “Renta'Life Architecture” of his possible legal obligation to take out, before the start of the work, “damage-works” insurance in accordance with Law No. 78-12 of January 4, 1978 and the texts adopted for its application. The professional civil liability insurance certificate of your franchised service provider “Renta'Life Architecture” is available upon request.

ARTICLE 9: MODIFICATION OF THE CONTRACT, CALENDAR, ADDITIONAL SERVICES

Any modification of the quote, even if imposed by a third party, or by a change in regulations, or made necessary by unforeseeable administrative, legal, technical or commercial hazards, may result in a readjustment of the price of the consulting and support services provided by your franchised service provider “Renta'Life Architecture”. This readjustment will be the subject of an agreement between the parties and will give rise to the establishment of an amendment to the quote signed by the parties, if applicable. In the event that the client or circumstances require the use of third-party specialist technicians (DE architect, inspection office, concrete engineer, acoustician, museographer, scenographer, etc.), the client acknowledges that the related expenses will remain their responsibility.

ARTICLE 10: TERMINATION

A quote accepted with payment of a deposit cannot be terminated early by either party. In the event of non-performance of any of the obligations contained therein, without prejudice to any damages that may be claimed from the defaulting party, early termination at the initiative of one of the Parties will automatically take place seven (7) working days after formal notice served by registered letter with acknowledgment of receipt to the other party indicating the intention to apply this express termination clause, which has remained without effect. In the event of termination at the initiative of the client, outside of any culpable non-performance by your service provider "Renta'Life Architecture", the fees owed to your franchised service provider "Renta'Life Architecture" will be due in full.

ARTICLE 11: RESERVATION OF OWNERSHIP

In the event that the Service provided by your franchised service provider “Renta'Life Architecture” includes the delivery of equipment and/or capital goods and notwithstanding any clause to the contrary, the transfer of ownership of the Products ordered to the customer will only be carried out after full payment of the price by the latter. Effective payment means actual collection. The risks are transferred to the customer at the time of delivery or provision of the Product(s).

ARTICLE 12: GUARANTEES

Your franchised service provider "Renta'Life Architecture" is bound by the legal guarantee against hidden defects resulting from articles 1641 et seq. of the Civil Code. In application of this guarantee, all products sold may be replaced or refunded if the products are defective. All complaints, requests for exchange or refund must be sent by registered letter with acknowledgment of receipt to your franchised service provider "Renta'Life Architecture", within 7 days of the discovery of the defect. The action resulting from latent defects must be brought by the customer within two years of the discovery of the defect. The Project Owner must keep the invoice. In addition, in the event that your franchised service provider "Renta'Life Architecture" proceeds with the sale of equipment or consumer goods, your franchised service provider "Renta'Life Architecture" is subject to the following legal guarantee conditions: * article L 211-4 of the Consumer Code: The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity that exists at the time of delivery. He is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation when this has been made his responsibility by the contract or has been carried out under his responsibility. * Article L 211-5 of the Consumer Code * Article L 211-12 of the Consumer Code: the action resulting from the lack of conformity is prescribed by two years from the delivery of the goods.

ARTICLE 13 : FORCE MAJEURE

Your franchised service provider "Renta'Life Architecture" cannot be held responsible for any contractual non-performance if this non-performance is the direct or indirect effect of a case of force majeure or fortuitous event. Expressly, cases of force majeure or fortuitous event are considered, in addition to those usually retained by the case law of the Court of Cassation, any external, unforeseeable and irresistible event making the performance of the obligation impossible, and in particular, exceptional bad weather, fires, floods and attacks, epidemics, excessive heat, humidity or cold, mandatory injunctions of public authorities (import, export ban, etc.). The execution of these General Conditions will be suspended for as long as the force majeure event lasts and the deadlines for execution and provision of products will be extended accordingly. Your franchised service provider “Renta'Life Architecture” will endeavor, as far as possible, to put an end to the force majeure event or to find a solution enabling it to fulfill its contractual obligations despite the force majeure event.

ARTICLE 14: NON-WAIVER

The fact that one of the parties does not avail itself, at a given time, of any of the provisions of these general conditions cannot in any way be interpreted as a waiver on its part to avail itself of them subsequently.

ARTICLE 15: SUBCONTRACTING

To carry out its services, your franchised service provider “Renta'Life Architecture” may call upon subcontractors of its choice.

ARTICLE 16: INTELLECTUAL PROPERTY

Your franchisee provider "Renta'Life Architecture" grants its client the right to personal use and for its own needs of the studies and documents that will be established in its interest. These studies and documents may only be used by the client within the framework of this project. Any subsequent reuse, including in the context of a similar mission and without the prior authorization of your franchisee provider "Renta'Life Architecture" is prohibited. Your franchisee provider "Renta'Life Architecture" holds the full intellectual and artistic property of its creation in accordance with the provisions of the Intellectual Property Code. Thus, the plans, sketches, drawings, drafts, models or other documents or works resulting from the mission, will remain the exclusive property of your franchisee provider "Renta'Life Architecture". Any subsequent duplications and/or modifications of this creation may only be carried out with the prior written consent of your franchisee provider "Renta'Life Architecture".

ARTICLE 17: APPLICABLE LAW – DISPUTES

All clauses contained in these general conditions as well as all contractual operations referred to therein are subject to French law. Any dispute will fall under the exclusive jurisdiction of the French courts which will have jurisdiction, in the absence of an amicable agreement between the client and its franchised service provider "Renta'Life Architecture".
